1. Platform Nature & Role

Ryzeme is a technology marketplace platform.

• We do not sell products
• We do not manufacture, store, or ship goods
• All products are listed and sold by independent third-party vendors (“Vendors”)
• Our role is limited to providing digital infrastructure that enables Vendors and customers to connect

2. Eligibility

By using the Platform, you confirm that:

• You are at least 18 years old, or have legal parental consent
• You are legally permitted to enter into contracts under applicable laws
• You will provide accurate and complete information

3. User Accounts

To access certain features, you may need to create an account. You are responsible for:

• Maintaining confidentiality of login credentials
• All activities under your account
• Notifying us immediately of unauthorized access

We reserve the right to suspend or terminate accounts that violate these Terms.

4. Vendor Terms & Responsibilities

Vendors using the Platform agree that they operate as independent businesses and are solely responsible for:

• Product quality, pricing, legality, and descriptions
• Order fulfillment, shipping, and delivery
• Returns, refunds, warranties, and customer service
• Compliance with applicable laws, taxes, and regulations
• Handling customer data in compliance with privacy laws

We are not responsible for Vendor actions, products, or services.

5. Orders & Transactions

When you place an order:

• You enter into a direct contract with the Vendor
• Prices, shipping times, and return policies are set by the Vendor
• Payment processing is handled by third-party payment providers
• Ryzeme is not a party to the sales contract between customers and Vendors

6. Payments

Payments are processed through secure third-party gateways. We:

• Do not store payment card details
• Do not control payment authorization or settlement
• Are not responsible for payment provider failures

Any payment disputes must first be addressed with the Vendor or payment provider.

7. Shipping, Returns & Refunds

• Shipping timelines, return policies, and refunds are defined by individual Vendors
• Customers must review Vendor policies before purchasing
• The Platform does not guarantee delivery timelines or refund approvals

8. Intellectual Property

All Platform content, including website design, logos, text, graphics, and software, is owned by or licensed to Ryzeme and protected by intellectual property laws. You may not copy, modify, or distribute Platform content without written permission. Vendor content remains the property of the respective Vendor.

9. Prohibited Activities

Users may not:

• Violate any laws or regulations
• Post false, misleading, or unlawful content
• Infringe intellectual property rights
• Attempt unauthorized access or disrupt the Platform
• Use the Platform for fraudulent or abusive activities

Violation may result in suspension or permanent removal.

10. Platform Availability

We strive to keep the Platform available but do not guarantee uninterrupted access. We may:

• Modify or discontinue features
• Perform maintenance
• Suspend access for security or legal reasons

11. Limitation of Liability

To the maximum extent permitted by law, Ryzeme shall not be liable for:

• Vendor products or services
• Losses arising from transactions between users and Vendors
• Indirect, incidental, or consequential damages
• Data loss, delays, or technical issues

Use of the Platform is at your own risk.

12. Indemnification

You agree to indemnify and hold harmless Ryzeme, its owners, and affiliates from any claims, damages, or expenses arising from:

• Your use of the Platform
• Violation of these Terms
• Vendor misconduct or product issues

13. Termination

We reserve the right to:

• Suspend or terminate access without prior notice
• Remove content or accounts violating these Terms

Termination does not affect rights or obligations accrued prior.

14. Governing Law & Jurisdiction

These Terms are governed by the laws of the United States, without regard to conflict of law principles. Any disputes shall be subject to the exclusive jurisdiction of courts located in the United States.

15. Changes to Terms

We may update these Terms at any time. Continued use of the Platform after changes constitutes acceptance of the revised Terms.
