Vendor Agreement
This Vendor Agreement (“Agreement”) is entered into between Ryzeme, a marketplace platform registered in the United States (“Platform”, “we”, “our”, or “us”), and the individual or business entity registering as a seller (“Vendor”, “you”, or “your”). By registering as a Vendor or listing products on https://ryzeme.com/, you agree to be legally bound by this Agreement.
1. Nature of the Platform
Ryzeme operates solely as a technology marketplace platform.
- We do not sell products
- We do not manufacture, store, ship, or inspect goods
- We do not control Vendor operations
- Vendors operate as independent businesses, not employees, partners, agents, or affiliates of the Platform
2. Vendor Eligibility
To sell on the Platform, you confirm that:
- You are at least 18 years old
- You have legal authority to operate a business
- All registration details are accurate and complete
- You are legally permitted to sell the products you list
We reserve the right to approve, suspend, or reject Vendor accounts at our discretion.
3. Product Listings & Content
Vendors are solely responsible for:
- Product quality, safety, and legality
- Accurate descriptions, pricing, images, and specifications
- Compliance with local, national, and international laws
- Ensuring products do not infringe intellectual property rights
The Platform is not responsible for verifying Vendor product claims.
4. Orders, Fulfillment & Customer Service
Vendors are fully responsible for:
- Order processing and fulfillment
- Packaging, shipping, and delivery
- Handling delays, lost shipments, and damages
- Providing customer support
- Managing returns, refunds, exchanges, and warranties
All sales contracts exist directly between Vendor and customer.
5. Payments & Fees
- Payments are processed via third-party payment gateways
- Platform service fees or commissions, if applicable, will be communicated separately
- Vendors are responsible for transaction fees charged by payment providers
- The Platform does not guarantee payment settlement timing
6. Taxes & Legal Compliance
Vendors are solely responsible for:
- Collecting, reporting, and paying applicable taxes
- Customs duties, import and export regulations
- Business licenses, permits, and certifications
- Compliance with consumer protection, product safety, and advertising laws
The Platform does not provide tax or legal advice.
7. Data Protection & Privacy
Vendors may receive customer personal data strictly for order fulfillment and support purposes. Vendors agree to:
- Use customer data only for legitimate business purposes
- Protect personal data using reasonable security measures
- Comply with applicable data protection laws, including GDPR and CCPA where relevant
- Not misuse, sell, or share customer data unlawfully
Violation of data protection obligations may result in immediate termination.
8. Intellectual Property
- Vendors retain ownership of their product content and branding
- Vendors grant the Platform a non-exclusive, worldwide, royalty-free license to display Vendor content for marketplace operations and marketing
- Vendors confirm they own or have rights to all uploaded content
9. Prohibited Products & Activities
Vendors may not list:
- Illegal, counterfeit, or unsafe products
- Products violating intellectual property rights
- Restricted or regulated items without authorization
- Misleading or deceptive listings
The Platform may remove listings without notice.
10. Platform Rights
We reserve the right to:
- Monitor Vendor activity
- Remove content or products
- Suspend or terminate Vendor accounts
- Modify marketplace rules or fees with notice
11. Indemnification
Vendors agree to indemnify and hold harmless Ryzeme, its owners, and affiliates from any claims, damages, losses, or expenses arising from:
- Vendor products or services
- Customer disputes
- Legal violations
- Data breaches caused by Vendor actions
12. Limitation of Liability
To the maximum extent permitted by law, Ryzeme is not liable for:
- Vendor products or conduct
- Loss of profits or business
- Indirect or consequential damages
Use of the Platform is at Vendor’s own risk.
13. Termination
We may terminate this Agreement or Vendor access:
- For violation of this Agreement
- For legal or security reasons
- At our discretion with or without notice
Termination does not affect obligations accrued prior.
14. Governing Law
This Agreement is governed by the laws of the United States, without regard to conflict of law principles.
15. Amendments
We may update this Agreement from time to time. Continued use of the Platform after changes constitutes acceptance.
